PR1MA GROUP LIMITS OF AUTHORITY

Since the year 2013, PR1MA Management has taken initiative to establish, review and realign the Limits of Authority ("LOA") to cater for a change in the PR1MA organisational structure and to ensure transaction and business activities are authorised and executed according to PR1MA Policies and Standard Operating Procedures ("SOP").

A documented LOA with clear lines of accountability and responsibility serves as a single point of reference for PR1MA and its subsidiaries' ("PR1MA Group") authority limits to ensure consistency, and to effectively and efficiently manage the level of approvals and authority limits including matters that require the MoC and/or Minister responsible for PR1MA.

For further enhancing of internal controls to align with current operational needs as businesses expended and changed over the years, the MoC had approved the latest version of PR1MA Group Limits of Authority ("GLOA") on 21 April 2022.

CODE OF ETHICS AND CODE OF CONDUCT

PR1MA adopts and practices PR1MA Code of Conduct which places significant importance in upholding the principle of PR1MA culture and shared values of teamwork, integrity, excellence, and accountability in order to achieve its business goals.

The Code of Conduct sets the minimum standards of professional behaviour that is expected of all employees and form part of the terms and conditions of employment with PR1MA. In general, each employee has an obligation to deliver faithful and honest service to PR1MA and adhere to the following Code of Conduct.

For the purpose of enhancing the standards of corporate governance and corporate behaviour, the MoC subsequently approved Code of Ethics for PR1MA ("PR1MA COE") for a further extension to the Code of Conduct with the intention of achieving the following aims, inter alia:

  • To establish a standard of ethical behaviour for Directors, Senior Management, and employees of PR1MA Group based on trustworthiness and values that can be accepted, are held, or upheld by any one person;

  • To uphold the spirit of responsibility and social responsibility in line with the legislation, regulations, and guidelines for administrating a company; and

  • To formalise and inculcate ethical values through the Code of Ethics and ensure implementation and compliance.

It serves as a steering document on the standards of behaviour that we expect from our employees and the PR1MA Group.
